1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Edrene Technologies Ltd ("Edrene," "we," "us," or "our") governing your access to and use of the edrenetech.io website and our software-as-a-service products, including RevenueIQ and Maoni AI (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

2. Description of Services

Edrene Technologies provides AI-powered business intelligence solutions:

• RevenueIQ: Demand forecasting and revenue optimization platform using machine learning to analyze historical data and predict future trends.
• Maoni AI: Sentiment analysis platform that processes customer feedback from multiple sources to provide actionable insights.

3. Account Registration

To use our Services, you must:

• Be at least 18 years old
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account

You must notify us immediately at security@edrenetech.io if you suspect unauthorized access to your account.

4. Subscription and Payments

4.1 Pricing

Our Services are offered on a subscription basis with various pricing tiers as displayed on our website. Prices are subject to change with 30 days' notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is due at the start of each billing period. All payments are processed securely through Stripe.

4.3 Free Trials

We may offer free trials for certain Services. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Refunds

We offer a 30-day money-back guarantee for new subscriptions. Refund requests must be submitted within 30 days of the initial purchase. Annual subscriptions may receive a prorated refund if cancelled within 30 days.

5. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity of our Services
• Resell or redistribute our Services without authorization
• Use automated systems to access our Services in a manner that exceeds reasonable use
• Collect or harvest user data without consent
• Transmit spam or unsolicited communications

6. Your Data

6.1 Ownership

You retain all ownership rights to the data you upload to our Services ("Your Data"). We do not claim ownership of Your Data.

6.2 License

By using our Services, you grant us a limited license to process Your Data solely for the purpose of providing the Services to you. This license terminates when you delete Your Data or close your account.

6.3 Data Processing

We process Your Data in accordance with our Privacy Policy. You are responsible for ensuring you have the right to share any data you upload.

6.4 Data Backup

While we maintain regular backups of our systems, you are responsible for maintaining your own backups of Your Data. We recommend exporting your data regularly.

7. Intellectual Property

7.1 Our Property

The Services, including all software, algorithms, designs, text, graphics, logos, and other content, are owned by Edrene Technologies and protected by intellectual property laws. "RevenueIQ," "Maoni AI," and "Edrene Technologies" are trademarks of Edrene Technologies Ltd.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your subscription term.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without any obligation to you.

8. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend Services for:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Factors beyond our reasonable control

We target 99.9% uptime for our production Services and will notify users of any planned maintenance through email or in-app notifications.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, or error-free
• The results from using the Services will be accurate or reliable
• Any forecasts or predictions will be accurate

Our AI-powered predictions and analyses are tools to assist decision-making and should not be the sole basis for business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDRENE TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Edrene Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your Data or content you upload to the Services

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

12.2 By Us

We may suspend or terminate your access to the Services if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Pose a security risk to our Services or other users

12.3 Effect of Termination

Upon termination, your right to use the Services immediately ceases. You may request export of Your Data within 30 days of termination. After this period, we may delete Your Data in accordance with our data retention policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Kenya, located in Nairobi.

14. Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at legal@edrenetech.io to attempt to resolve the dispute informally. We will endeavor to resolve disputes within 30 days of notification.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending an email notification to registered users
• Displaying a notice within our Services

Your continued use of the Services after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services before the changes take effect.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Edrene Technologies regarding the Services.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
